Contact Center AI Association — ChatGPT App

1. Acceptance of These Terms

These Terms of Service (the “Terms”) form a binding agreement between you (“User,” “you,” or “your”) and the Contact Center AI Association, an Alabama nonprofit corporation with principal offices at 1500 First Avenue North, Birmingham, AL 35203 (“CCAIA,” “we,” “us,” or “our”). These Terms govern your access to and use of the CCAIA application made available within OpenAI’s ChatGPT service (the “App”).

By installing, enabling, accessing, or otherwise using the App, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the App.

If you are using the App on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and “you” and “your” refer to both you individually and that organization.

2. Relationship to Other Agreements

These Terms govern your use of the App specifically. Your relationship with CCAIA may also be governed by other agreements, including:

  • CCAIA Membership Agreement — the agreement that governs your CCAIA membership, dues, voting rights (where applicable), code of conduct, and other membership benefits and obligations.
  • CCAIA Website Terms of Use — the terms that govern use of ccaia.org and related properties.
  • CCAIA Privacy Policy — available at ccaia.org/privacypolicy, which describes how CCAIA collects, uses, and discloses personal information in connection with the App.

In the event of a direct conflict between these Terms and another CCAIA agreement with respect to use of the App, these Terms control as to the App. Nothing in these Terms reduces your rights or obligations under the CCAIA Membership Agreement with respect to non-App matters, including governance and voting rights.

3. The App and Service Providers

3.1 What the App Does

The App is a Model Context Protocol (“MCP”) application that operates inside ChatGPT and enables authenticated CCAIA users to:

  • Access CCAIA resources, chapter information, and member-facing content;
  • Submit inquiries, registrations, and similar requests to CCAIA;
  • View and update certain information in your CCAIA member record or related customer relationship management (CRM) systems, subject to the permissions associated with your account.

The specific features available may change over time. CCAIA may add, modify, restrict, or remove features at its discretion.

3.2 ProxyLink as Technology Service Provider

CCAIA uses ProxyLink (operated by Proxz AI Inc.) as the technology service provider that hosts and operates the MCP server underlying the App. ProxyLink processes data on CCAIA’s behalf as a service provider/processor. ProxyLink is not a party to these Terms, and your relationship with respect to the App is solely with CCAIA.

3.3 OpenAI / ChatGPT

The App runs within OpenAI’s ChatGPT product. OpenAI is not a party to these Terms and is not responsible for the App. Your use of ChatGPT itself is governed by your separate agreement with OpenAI, including OpenAI’s Terms of Use and Privacy Policy. CCAIA does not control ChatGPT and is not responsible for ChatGPT’s availability, behavior, or output.

4. Eligibility, Accounts, and Authentication

4.1 Eligibility

To use the App, you must (a) be at least 18 years of age; (b) have full legal capacity to enter into a binding agreement; (c) be a current CCAIA member in good standing or an authorized representative of a CCAIA member organization; and (d) not be barred from using the App under applicable law or by prior action of CCAIA.

4.2 Authentication Required

All features of the App require authentication. You must authenticate using the same credentials you use to login to the CCAIA website. You are responsible for maintaining the confidentiality of those credentials and for all activity that occurs under your account.

4.3 Account Security

You agree to: (a) provide accurate and complete information when authenticating; (b) keep your credentials secure and not share them with any other person; (c) notify CCAIA promptly at john@ccaia.org if you suspect unauthorized access to your account; and (d) comply with any multi-factor or step-up authentication requirements CCAIA may implement.

4.4 Tier-Based Access

CCAIA operates a tiered membership structure (practitioners, vendors, and consultants). Features available through the App may vary by tier.

5. Acceptable Use

You agree not to, and not to permit any third party to:

  • Use the App for any unlawful, fraudulent, harmful, or deceptive purpose;
  • Submit false, misleading, or inaccurate information through the App, including in any inquiry, registration, or update to your member record;
  • Attempt to access another user’s account or any data you are not authorized to access;
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
  • Interfere with or disrupt the App, the underlying MCP server, ProxyLink’s systems, ChatGPT, or any associated networks;
  • Attempt to reverse engineer, decompile, scrape, harvest, or otherwise extract data, source code, or underlying components of the App except to the extent expressly permitted by applicable law;
  • Use the App to develop a competing product or service, or to train any machine learning model;
  • Bypass any access controls, rate limits, or security mechanisms of the App;
  • Submit through the App any malware, viruses, or harmful code;
  • Submit through the App any of the following categories of data: payment card information; protected health information; government identifiers (such as Social Security numbers); access credentials, API keys, passwords, or one-time codes; or any other sensitive personal data that the App is not expressly designed to receive;
  • Use the App in any manner that violates the OpenAI Usage Policies or OpenAI’s terms applicable to ChatGPT and ChatGPT apps;
  • Use the App in any manner that violates the CCAIA Membership Agreement, CCAIA Code of Conduct, or other CCAIA policies.

CCAIA may investigate suspected violations and may suspend or terminate access to the App for any user reasonably believed to be in violation.

6. Data and Privacy

6.1 Privacy Policy

CCAIA’s collection, use, and disclosure of personal information in connection with the App is described in the CCAIA Privacy Policy at ccaia.org/privacypolicy, which is incorporated into these Terms by reference. By using the App, you acknowledge the practices described in the Privacy Policy.

6.2 Information You Submit

When you use the App, you may provide information directly (for example, by completing an inquiry or updating a field in your member record), and information may be inferred from the context of your conversation with ChatGPT. The App is designed to operate only on the information and snippets the ChatGPT client passes to it for the specific request, and not to reconstruct or infer your full ChatGPT conversation history.

6.3 Writes to Your Member Record and CRM

Certain features of the App can create, modify, or delete information in your CCAIA member record or in associated CRM systems. You are responsible for the accuracy of information you direct the App to write. CCAIA may treat changes made through the App as authorized by the account holder. You should review changes through normal CCAIA channels and notify CCAIA promptly of any errors.

6.4 ChatGPT and OpenAI Data Handling

Your interactions with ChatGPT are also subject to OpenAI’s privacy practices, which are not controlled by CCAIA. You should review OpenAI’s applicable policies. CCAIA is not responsible for OpenAI’s processing of your information.

6.5 No Sale of Personal Information

CCAIA does not sell personal information you submit through the App, as “sell” is defined under applicable U.S. state privacy laws, and does not share such information for cross-context behavioral advertising.

7. Membership Dues, Payments, and Donations

The App does not process payments, dues, donations, or other financial transactions. Any payment, including membership dues, event fees, and charitable contributions to CCAIA, must be completed outside the App through CCAIA’s normal payment channels. The App may direct you to those external channels but will not collect or transmit payment card or bank account information.

8. Intellectual Property

8.1 CCAIA Materials

The App, the underlying software, the CCAIA name and marks, and all content made available through the App (other than User Content, as defined below) are owned by CCAIA or its licensors and are protected by intellectual property and other laws. Except for the limited right to use the App as described in these Terms, no rights are granted to you by implication, estoppel, or otherwise.

8.2 User Content

“User Content” means information and material you submit through the App. You retain whatever rights you have in your User Content. You grant CCAIA and its service providers (including ProxyLink) a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and use your User Content as necessary to operate the App, provide related services to you, respond to your requests, maintain and improve the App and CCAIA’s services, and comply with law. You represent and warrant that you have all rights necessary to grant this license and that your User Content does not violate these Terms or any third-party rights.

8.3 Feedback

If you provide CCAIA with feedback, suggestions, or ideas about the App, you grant CCAIA a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose without obligation to you.

9. Service Availability and Modifications

CCAIA does not guarantee that the App will be available at all times or free of interruptions, errors, or delays. CCAIA may modify, suspend, or discontinue the App, or any feature of it, at any time with or without notice. CCAIA is not liable to you for any such modification, suspension, or discontinuation.

The App depends on third-party services, including ChatGPT and ProxyLink’s infrastructure. Outages, changes, or restrictions imposed by those third parties may affect the App.

10. Disclaimers

The App is provided “as is” and “as available,” without warranty of any kind. To the fullest extent permitted by law, CCAIA, its affiliates, and its service providers (including ProxyLink) disclaim all warranties, express, implied, and statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

Without limiting the foregoing, CCAIA does not warrant that the App will be uninterrupted, secure, or error-free, or that any output generated by or through the App, including output generated by ChatGPT, will be accurate, complete, or reliable. You are solely responsible for evaluating any output and for any decisions you make based on the App.

The App is not a substitute for professional advice, including legal, financial, medical, or regulatory advice.

11. Limitation of Liability

To the fullest extent permitted by law, in no event will CCAIA, its affiliates, or its service providers (including ProxyLink), or any of their respective officers, directors, employees, agents, or licensors, be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to the App or these Terms, whether based on contract, tort (including negligence), strict liability, or any other theory, and whether or not CCAIA has been advised of the possibility of such damages.

CCAIA’s aggregate liability arising out of or relating to the App or these Terms will not exceed the greater of (a) the total amounts you paid to CCAIA for use of the App in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).

The limitations in this Section 11 apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations of liability; in those jurisdictions, the foregoing limitations apply to the maximum extent permitted by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless CCAIA, its affiliates, its service providers (including ProxyLink), and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the App; (b) your User Content; (c) your breach of these Terms; or (d) your violation of any law or the rights of any third party. CCAIA may assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with CCAIA’s defense.

13. Suspension and Termination

CCAIA may suspend or terminate your access to the App at any time, with or without notice, for any reason, including if CCAIA reasonably believes you have violated these Terms, your membership status has changed, or continued provision of the App to you could expose CCAIA to legal or reputational risk.

You may stop using the App at any time.

Termination of access to the App does not terminate your CCAIA membership, which is governed by the CCAIA Membership Agreement. Sections 5, 6, 8, 10, 11, 12, 13, 14, 15, and 16 survive termination.

14. Modifications to These Terms

CCAIA may modify these Terms from time to time. When CCAIA makes a material change, CCAIA will provide reasonable advance notice, such as by posting the updated Terms with a new “Last Updated” date and, where appropriate, sending notice to the email address associated with your CCAIA account. Your continued use of the App after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the App.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms and any dispute arising out of or relating to them or to the App are governed by the laws of the State of Alabama, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

15.2 Venue

Subject to Section 15.3, you and CCAIA agree that any action or proceeding arising out of or relating to these Terms or the App will be brought exclusively in the state or federal courts located in Jefferson County, Alabama, and you and CCAIA irrevocably submit to the personal jurisdiction of those courts and waive any objection based on inconvenient forum.

15.3 Informal Resolution

Before filing any action, you agree to first contact CCAIA at john@ccaia.org and attempt in good faith to resolve the dispute informally for at least thirty (30) days.

15.4 Small Claims

Notwithstanding Section 15.2, either party may bring an individual action in small claims court located in Jefferson County, Alabama, if the action qualifies.

15.5 Waiver of Class Actions

You and CCAIA agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

16. General

16.1 Entire Agreement

These Terms, together with the CCAIA Privacy Policy and any other CCAIA agreement expressly incorporated by reference, constitute the entire agreement between you and CCAIA regarding the App and supersede all prior or contemporaneous understandings on that subject.

16.2 Severability

If any provision of these Terms is held to be unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be modified to the minimum extent necessary to be enforceable while preserving the original intent.

16.3 No Waiver

A party’s failure to enforce any provision of these Terms is not a waiver of that party’s right to enforce it later.

16.4 Assignment

You may not assign or transfer these Terms or any rights under them without CCAIA’s prior written consent. CCAIA may assign these Terms without restriction. Any prohibited assignment is void.

16.5 Notices

CCAIA may provide notices to you by email to the address associated with your CCAIA account or by posting in the App or on ccaia.org. You may provide notices to CCAIA at 3052 Eagle Ridge Lane, Birmingham, AL 35242 or john@ccaia.org.

16.6 Force Majeure

CCAIA is not liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, natural disasters, war, terrorism, civil disturbance, labor disputes, governmental action, internet or telecommunications failures, or failures of third-party services (including ChatGPT and ProxyLink infrastructure).

16.7 Relationship of the Parties

Nothing in these Terms creates a partnership, joint venture, employment, agency, or fiduciary relationship between you and CCAIA.

16.8 Third-Party Beneficiaries

Except that ProxyLink and OpenAI are intended third-party beneficiaries of the disclaimers, limitations of liability, and indemnification provisions in these Terms, these Terms do not create any third-party beneficiary rights.

Section headings are for convenience only and do not affect interpretation.
